TERMS & CONDITIONS OF HAPPYDEMY®

Welcome to Happydemy®! These Terms of Service (“Terms”) govern your access to and use of the Happydemy® digital ecosystem, including our websites, mobile applications, tools, services, and infrastructure provided by Happydemy LTD (“Happydemy”, “we”, “us”, or “our”).

Happydemy® is a protected and ethical digital space designed to support verified service providers and users in a safe, transparent, and legally compliant environment.

We act as a trusted framework, ensuring that all service providers operating within the Happydemy ecosystem follow our internal rules (“Happydemy Code”) and comply with applicable laws in the United Kingdom, the European Union, and other relevant jurisdictions.

By accessing or using Happydemy®, you agree to be bound by these Terms, as well as our Privacy Policy ↗, Cookie Policy ↗, Community Guidelines ↗. If you do not agree with any part of these Terms, you may not access or use the platform.

1. Information about Happydemy®

The company you are contracting with depends on whether you are a resident or have an effective place of business.

If you are a resident in the UK or a country outside the EEA, you are in contract with Happydemy Ltd, Ground Floor, Nautica House, Waters Meeting Road, Bolton, England, BL1 8SW United Kingdom, Company Number: 15061029

If you are a resident in a country in the European Economic Area (EEA) ↗, you are in contract with Happydemy Ltd, Ground Floor, 71 Baggot Street Lower, Dublin 2, DUBLIN, Ireland, D02P593, Company Number: 763825

2. Using the Platform

To access Happydemy®, users must create an account via our central platform, Happydemy Central. Registration is free of charge and allows access to a limited set of basic features. Users may be required to complete identity verification to unlock full functionality, including monetisation and provider interactions.

By using Happydemy®, you confirm that:

  • You are at least 18 years old (or the minimum legal age in your country of residence),

  • You have the legal capacity to enter into a binding agreement,

  • You will provide accurate, complete, and up-to-date information during registration and throughout your platform use.

You are responsible for maintaining the confidentiality of your login credentials and all activity under your account. If you think your account has been compromised, immediately notify us.

Access to certain services and features may depend on your verification level and subscription status. Happydemy® reserves the right to suspend or restrict access to users who violate our Terms or the Happydemy Code.

All accounts are individual unless otherwise authorised. Accounts cannot be sold, transferred, or shared without explicit permission from Happydemy®.

3. The Ecosystem and Our Role

We operate a controlled digital ecosystem — a protected framework where certified Providers can deliver their services to Users under strict compliance rules.

Our platform connects verified users with approved providers through Happydemy Central, the entry point for the ecosystem.

From there, Users can discover, interact with, and access services provided by third-party Providers across multiple digital sectors, including (but not limited to):

  • Communication

  • Entertainment

  • E-Commerce

  • Gaming

  • Real Estate

  • Travel

  • Gastronomy

  • Fashion

  • Technology

  • FinTech

  • and more

Every Provider operating within Happydemy® must meet our eligibility requirements, pass compliance checks, and fully adhere to the Happydemy Code ↗ — our internal standard of ethical, legal, and operational guidelines.

Happydemy® is responsible for:

  • Managing the onboarding and verification of all users and providers;

  • Monitoring the compliance of Providers with applicable UK, EU, and platform-specific laws and standards;

  • Facilitating interactions, access, and secure transactions within the ecosystem;

  • Enforcing quality, safety, and fairness throughout the experience.

We reserve the right to suspend or remove Providers who fail to meet our standards or breach legal or ethical obligations.

4. User Account and Responsibilities

To access and use Happydemy®, you must create a personal account through Happydemy Central.

Registration is by invitation only. You may only join the platform through an invitation code provided by an existing user or authorised channel.

Basic registration is free and grants limited access to platform features. Additional functionalities like monetisation, provider interactions, and content creation may require identity verification and/or an active subscription. 4.1 Account Types and Verification

Happydemy® distinguishes between different account types based on verification status and level of access.

Users who register on the platform are initially considered Applicants.

These users have limited access and are not eligible for monetisation, referrals, or advanced services.

Users must complete a verification process and become Members to unlock full access to features and financial participation. Happydemy® currently offers multiple verification levels, including identity checks, document submission, and biometric verification through authorised partners.

Each verification level corresponds to specific capabilities and limits outlined in the Community Guidelines ↗, the FAQ section, and dedicated platform policies such as Bonuses & Rewards ↗.

Happydemy® reserves the right to update verification requirements at any time and may suspend, limit, or downgrade an account that fails to meet the necessary conditions.

Happydemy® reserves the right to request re-verification at any time. Failing to verify or maintain a verified status may result in limited access, restriction of features, or account downgrade.

4.2 Account Use and Conduct

As a user, you are solely responsible for all activity under your account. You agree not to:

  • Share or transfer your account to others;

  • Use the platform for illegal, abusive, or fraudulent purposes;

  • Harass, threaten, or exploit other users or providers;

  • Circumvent access restrictions, payment models, or platform rules;

  • Upload or share content that violates the law or the Community Guidelines ↗.

We reserve the right to monitor activity and suspend or terminate accounts that violate these Terms or pose a risk to the ecosystem.

4.3 Account Suspension or Termination

Happydemy® may suspend or permanently terminate your account if:

  • You violate these Terms or the Community Guidelines ↗;

  • You provide false or misleading information;

  • You are reported for abusive behaviour, illegal actions, or repeated misconduct.

Suspended or terminated accounts may lose access to all associated services, digital spaces, earnings, and content, without refund or compensation, unless required by law.

4.4 Security and Account Recovery

You are responsible for keeping their login credentials safe. If you suspect unauthorised access to your account, notify us immediately by getting in touch with us through the Contact Form.

We may be able to help with account recovery at our sole discretion and after appropriate identity checks.

5. Providers and Services

Happydemy® enables access to services and content offered by certified third-party Providers. These Providers are independent entities or individuals who have met our eligibility requirements and agreed to operate within the Happydemy ecosystem under strict compliance rules.

5.1 Independent Responsibility

Each Provider is fully responsible for the services, content, communications, and interactions they offer through Happydemy®.

They are not employees, agents, or legal representatives of Happydemy LTD.

Users who engage with a Provider enter into a direct relationship with that Provider.

Happydemy® does not assume responsibility for the quality, accuracy, or legality of services or content delivered by Providers.

5.2 Certification and Compliance

Happydemy® must approve all providers before it can offer services.

This includes:

  • Verification of identity and business legitimacy;

  • Acceptance of the Happydemy Code ↗;

  • Ongoing compliance with applicable UK, EU, and other relevant jurisdictions' laws.

Happydemy® reserves the right to suspend or revoke a Provider’s access to the ecosystem if they violate our standards or fail to comply with legal obligations.

5.3 Limited Data Access – No Personal Data, Conditional Balance Visibility

For the protection of our users, Providers do not have access to users’ data, such as identity documents, financial information, contact details, or behavioural analytics.

All interactions between Users and Providers occur exclusively through secure interfaces managed and controlled by Happydemy Central.

However, in specific, authorised cases, Happydemy® may share limited user-related data with Providers strictly for operational purposes and only when the user consents to or initiates the sharing.

Examples include:

  • Displaying the user’s public name, avatar, or access status (e.g., Verified, Premium, VIP);

  • Granting or restricting access to protected content or services;

  • Verifying whether the user’s HappyCredit Vault balance is sufficient to complete an action or purchase.

In such cases, providers may view a “yes/no” status or a real-time balance query result, but they will never access full transaction history or control over user funds.

Strict Limitations Apply:

  • Providers may not collect or store any user data independently;

  • They may not request or require personal information from users;

  • Any attempt to simulate, replicate, or bypass Happydemy’s payment or identity systems is strictly forbidden.

Violations will lead to immediate suspension and may trigger legal action.

5.4 Service-Specific Terms

Some Providers may apply additional terms or conditions specific to their services (e.g., refund policies, subscription models, community rules).

Using a Provider’s service, you agree to any additional terms.

6. HappyCredit© and Transactions

Happydemy® uses an internal accounting unit called HappyCredit© (HC) to facilitate access to services, digital goods, subscriptions, and interactions within the ecosystem. HappyCredit© is not a form of electronic money, cryptocurrency, or financial asset. It represents a closed-loop utility value, valid only within Happydemy®.

6.1 Purchasing HC

Users may purchase HappyCredit© through approved payment methods within Happydemy®.

The current price of HappyCredit© is stated during the checkout process. Prices may vary depending on your country of residence, taxation rules, or ongoing promotional campaigns.

All purchases are processed through secure third-party payment gateways and are final and non-refundable, unless otherwise required by law.

Unverified accounts may have restrictions on how many HC they can purchase, hold, or use.

All the transactions are subject to identity verification, anti-fraud controls, and internal compliance procedures.

6.2 Earning and Using HappyCredit©

Users may earn HappyCredit© through permitted activities within the platform, including interactions, referrals, and community engagement.

HappyCredit© can access the eligible services and features certified Providers offer across the ecosystem.

All certified Providers accept HappyCredit as a standard method of access or exchange.

Conditions for earning, using, and managing HappyCredit — including thresholds, usage rights, and eligibility — are defined in the official Bonuses & Rewards ↗ section and are subject to change.

6.3 Withdrawals and Conversions

Only HappyCredits earned through affiliate activity and royalties may be considered for conversion into fiat currency, and only at the sole discretion of Happydemy®.

Eligibility, limits, timelines, and evaluation criteria for withdrawals are outlined in the Bonuses & Rewards ↗ section.

No automatic or guaranteed conversion is offered under any circumstances.

6.4 Balance and Activity Monitoring

Each User has access to a personal HappyCredit Vault, a protected digital space within their account where all HappyCredits (HC) are stored, tracked, and managed.

The HappyCredit Vault allows Users to:

  • View their current HC balance

  • Track incoming and outgoing HappyCredits

  • Monitor activity related to purchases, subscriptions, referrals, rewards, and eligible withdrawals

  • Interact with Provider services where HappyCredits are accepted

The Vault operates entirely within the Happydemy® ecosystem and is connected to the user’s verified identity.

All activity is processed through secure internal systems. Balances are updated in real time and remain visible from the user dashboard.

Providers cannot access the Vault or its contents and may only receive relevant status updates (e.g., balance available) when strictly required to enable a service.

7. Interactions, Rewards and Referrals

Happydemy® allows users to interact with certified Providers and other users through a wide range of content, services, and experiences. These interactions may include access to Digital Spaces, subscriptions, content views, donations, gamified engagement, and other participation tools available within the ecosystem.

Depending on the Provider's configuration and platform-wide campaigns, some interactions may offer users the opportunity to receive HappyCredits or other benefits.

Users may also participate in referral and affiliate programs to reward ethical sharing and user acquisition. Internal rules and eligibility conditions govern these programs.

All participation in monetisation, rewards, and referral systems is:

  • Optional, and based on user activity and verification status

  • Subject to platform policy and moderation

  • Governed by the Bonuses & Rewards ↗ section, which defines rules, tiers, and eligibility

Referral links and codes are personal and must be used under the platform’s rules.

Spam, manipulation, or unauthorised promotional tactics are strictly prohibited.

Any misuse of the system may result in temporary or permanent restrictions.

Please review the Community Guidelines ↗ and Bonuses & Rewards ↗ sections for acceptable use, conduct, and detailed participation criteria.

8. Content and Intellectual Property

8.1 Content Published by Users

All content published on Happydemy® or any Provider-powered service within the ecosystem is the sole responsibility of the User who creates, uploads, or shares it.

This includes, but is not limited to: text, audio, video, images, files, posts, profile data, and any material submitted or displayed through interactive features, Digital Spaces, messaging tools, or subscription-based areas.

By submitting content, Users confirm that:

  • They are the rightful owner or hold all necessary legal rights and permissions

  • The content does not infringe upon any third party intellectual property, privacy, or publicity rights

  • The content is not defamatory, misleading, illegal, or in violation of the Community Guidelines ↗ or applicable laws

Happydemy® and its certified Providers are not liable for user-generated content made available through their services.

However, Happydemy® and Providers reserve the right to moderate, restrict, or remove content that violates these Terms, platform policies, or applicable regulations.

Users remain fully liable for any reputational, financial, or legal damages arising from the content they publish.

Happydemy® and its Providers explicitly reserve the right to:

  • Remove harmful or infringing content without notice

  • Suspend or restrict accounts that breach these rules

  • Pursue legal action or claim compensation for any harm caused by user-submitted content

8.2 Platform Content and IP

All elements of the Happydemy® platform — including branding, design, code, infrastructure, system logic, and documentation — are the exclusive intellectual property of Happydemy® or its licensors. These materials may not be copied, altered, distributed, or used without explicit permission.

8.3 Copyright Infringement and Takedowns

Happydemy® respects intellectual property laws and responds to valid takedown requests. If you believe your rights have been violated, you may submit a report through the designated procedure outlined in our Copyright Policy ↗ and Community Guidelines ↗.

Repeated or abusive violations of copyright rules may result in content removal, account restriction, or legal action.

9. User Conduct and Community Rules

All Users are expected to behave respectfully and responsibly when using Happydemy® and any services offered through the ecosystem. You agree not to misuse the platform, harm others, or interfere with the experience of Providers or fellow Users.

You may not:

  • Violate any law, regulation, or third-party right

  • Harass, abuse, intimidate, or exploit other users or Providers

  • Use the platform to distribute spam, malware, or deceptive content

  • Impersonate others or provide false information

  • Attempt to circumvent verification, monetisation, or access restrictions

  • Upload or share content that is illegal, hateful, sexually explicit, violent, or discriminatory

  • Interfere with platform operations, infrastructure, or security systems

Your behaviour must always comply with the platform’s Community Guidelines ↗, which define acceptable use, restricted behaviours, and moderation procedures.

Happydemy® may take any necessary action in response to violations, including:

  • Content removal

  • Temporary or permanent account suspension

  • Limitation of access or features

  • Legal reporting and cooperation with authorities

Certified Providers may also report abusive or inappropriate behaviour while using their services or inside their Digital Spaces. These reports are handled under our internal procedures and may result in platform-level enforcement.

10. Legal Terms

10.1 Limitation of Liability

Happydemy® provides a protected digital infrastructure facilitating interactions between Users and certified Providers. However, we are not responsible for any third party's actions, content, or services, including Providers and other Users.

To the fullest extent permitted by law:

  • Happydemy® disclaims all liability for damages resulting from user behaviour, provider offerings, or content accessed through the platform.

  • We do not guarantee uninterrupted access, availability, or performance of the platform or any individual service.

  • We are not liable for any loss of earnings, data, business opportunities, or reputational harm resulting from the use or inability to use Happydemy®.

Users and Providers use the platform at their own risk and are expected to act under applicable laws and platform rules at all times.

10.2 Modifications to the Terms

Happydemy® may update these Terms occasionally to reflect changes in legal requirements, platform policies, or business practices.

When changes are made:

  • We will update the “Last Modified” date at the top of this document

  • We may notify Users through email, in-app alerts, or the main website

Continued use of the platform after the effective date of the updated Terms constitutes acceptance of the revised version.

If you do not agree to the changes, you must discontinue use of Happydemy® and request account closure.

10.3 Governing Law and Jurisdiction

These Terms are governed by the laws of the United Kingdom, with consideration for applicable European Union regulations where relevant.

Any legal dispute shall be submitted to the exclusive jurisdiction of the courts of London, United Kingdom, unless otherwise required by overriding consumer protection laws in the user’s country of residence.

10.4 Survival

Any provisions of these Terms that should survive termination, including but not limited to clauses regarding content ownership, limitations of liability, dispute resolution, and applicable law, shall remain in effect after account closure or discontinuation of service.

10.5 Alternative Dispute Resolution

If you are an EU-based consumer, you may also have the right to submit complaints through the Online Dispute Resolution (ODR) platform, accessible at: https://ec.europa.eu/consumers/odr .

Please note that Happydemy® is not obliged to participate in ODR procedures and may handle disputes through direct contact or court processes unless otherwise required by law.
